A letter of intent to purchase property is a short document in which a buyer sets out the main terms of an offer before the formal purchase contract is drafted. It shows the seller you are serious and gives both sides a starting point for negotiation. Home buyers, real estate investors and companies buying offices or land use one before spending money on lawyers and inspections.
There are 18 templates on this page, all as PDF files that are free to download. They include a commercial property letter of intent, a residential real estate letter of intent, a blank version you fill in by hand and detailed, formal letters for complex deals. Each works as an LOI to purchase real estate or a sample letter of intent you can adapt.
State clearly in the letter that it is non-binding except for any named clauses. Without that line, a court could treat parts of it as a contract. Rules vary by location, so a lawyer or agent should review it before you sign.
Once the seller accepts your terms, you may also need our ownership transfer letter templates, notarized letter templates for signed statements, and power of attorney templates if someone will sign on your behalf at closing.

Elements of a Formal Letter of Intent for Purchase of Property
Write a letter of intent to purchase property carefully and professionally. Include the following elements:
- Owner of Property
Give the full name and address of the property owner, and state whether the owner is an individual or a company.
- Purchaser
Give your full name and address, and your business name and address if you are buying the property for a business.
- Date
Include the date of writing of the letter.
- Location of Property
Write the complete address of the property so the owner knows exactly which property you mean.
- Price of Property
State your proposed price. It should be realistic and in line with current market values.
- Terms of Payment
Describe the proposed payment arrangements, including any deposit, timing and conditions. The parties should agree the terms for their transaction rather than assume a standard deposit percentage.
- Inspection
Describe the proposed inspection or due-diligence arrangements, including access, timing and permission. Any investigation rights should be agreed clearly; their timing is not determined by a universal rule.
- Standard Provisions
In this section, mention that the purchase agreement will contain the standard provisions required by law.
- Additional Provisions
You can also list other provisions that will go into the final purchase agreement, subject to the seller’s consent.
- Validity
State how long the proposed terms remain open for discussion and whether any exclusivity is intended. Agree a realistic deadline for the transaction rather than treating three days as a standard rule.
- Non-Binding
Identify which terms are proposed for discussion and which, if any, are intended to create obligations. Obtain appropriate review because a general non-binding label may not settle the effect of every clause.

Preparing a Property Purchase Letter of Intent
Use a short letter for a straightforward expression of interest and a more detailed LOI when financing, investigation or timing needs discussion. Identify whether the property is residential, commercial or land, because the information to investigate differs. A letter of intent records proposed terms; its legal effect depends on its wording and applicable law. Do not assume that a heading saying “non-binding” settles every provision.
- Identify the buyer, seller and property using the address and any available parcel or title reference.
- State the proposed price, currency and how any deposit would be handled if a later agreement is signed.
- List proposed conditions such as financing, title checks, inspections or approvals, together with realistic investigation periods.
- Separate terms intended only for negotiation from any provisions intended to bind the parties, and obtain local professional review before signing.
Worked Example
Illustrative outline: a buyer proposes a price of 250,000 in the stated currency, subject to financing and satisfactory title and building checks. The letter proposes a 21-day investigation period and a target closing date rather than promising that the transaction must close. Any exclusivity, confidentiality, deposit or cost-sharing arrangement is identified separately for review. These figures demonstrate how to organize an offer; they are not recommended commercial terms.
Common Mistakes to Avoid
Do not present a particular deposit percentage or a three-day deadline as a universal rule. Agree deadlines to suit the transaction. Avoid saying that inspections are possible only after a purchase agreement: access, permission and investigation rights depend on the parties’ arrangements. Never describe an LOI as a substitute for title verification or a properly reviewed purchase contract.

Frequently Asked Questions
Is a letter of intent the same as a purchase agreement?
No. An LOI typically outlines proposed terms before a detailed purchase agreement. Some clauses may nevertheless create obligations, depending on their wording and local law.
What should I write if financing is not yet approved?
Describe financing as a proposed condition and specify the information or approval still required. Do not state that funding is secured when it is not.
Should I include the property address alone?
An address is useful but may not uniquely identify land or a unit. Add the parcel, lot, unit or title reference when available and check it against the property records.
