45+ Contract Amendment Templates

A contract amendment is a written document that changes specific terms of an existing contract without replacing the whole agreement. It names the original contract, sets out the new wording and is signed by the same parties. Businesses, landlords, suppliers and universities use one when a price changes, a deadline moves or the scope of work grows partway through a deal.

This page has 45+ contract amendment templates that are editable and free to download. Options include a simple, a short and a blank amendment, a detailed version, a contract amendment form, a university amendment and an amendment price sheet for updating rates. Each works as a contract amendment sample you can adjust to your deal.

Before drafting anything, check the original contract for a clause on how changes must be made. Many contracts require written, signed amendments, and rules vary by location, so have a lawyer review changes to high-value agreements.

If the change is large, a new agreement may be simpler. See our short form agreement templates, and our contract termination letter templates if the parties decide to end the contract instead.

How to draft a Contract Amendment?

A contract amendment can be drafted in any way that suits the changes being made. Remember that amending a contract does not replace the whole contract.
The original contract stays the same and keeps the same legal enforceability. A contract amendment is legal only if it is made with the consent of all the parties to the contract.
There are three methods for creating a contract amendment. You can use any one of them or combine them, as suits you. The three methods are:
1. Visual Amendments:
In this method, changes to the original contract are shown with underlines, strike-throughs or by crossing out elements. A short statement is written just before each change.
2. Indicating the Amendments Only:
In the second method, the required changes are stated directly. This is a short and quick way to create a contract amendment.
3. Replacement of the Whole Part:
The third method replaces a whole part of the contract, such as a section or a clause. You state which clause is being replaced and then include the new clause in its place.

Other things to Consider

For contract amendment, there are many other important things to consider. Some of them are briefly explained below:

Contract Amendment vs Contract Addendum:

It is important to know the difference between an amendment and an addendum, because the two are often confused.
Amendment:
An amendment is a change to the terms and conditions, clauses or other parts of a contract. Only the original parties to the contract can make amendments.
Addendum:
An addendum adds content or information to an existing contract. Like an amendment, an addendum should be agreed and signed by all parties to the original contract.

When Amendments or Alterations are not allowed?

If a contract expressly states that no amendments are allowed, the parties cannot change or modify it.
The parties are bound to perform their obligations as long as the contract remains fair and legal.

Amendments before a Contract is Signed:

If changes are made before a contract is signed, no contract amendment is needed. Changes made before signing are not ‘amendments’; instead, they become part of the original contract.

Amendments after a Contract is Signed:

Once the parties have agreed to and signed a contract, changes cannot be made easily.
The parties may have started performing their promises, or one party may oppose any amendment. As mentioned earlier, no amendment can be made without the consent of all the parties to the contract.

Amending a Contract Without Creating Conflicting Terms

Choose an amendment when defined terms of an existing agreement are changing. A replacement agreement or another document may be more appropriate for extensive changes; obtain relevant advice.

  1. Identify the original agreement and parties precisely.
  2. State which provisions change and write the revised terms clearly.
  3. Confirm the effective date, approvals and relationship to the remaining provisions.

Worked Example

Example: an amendment changes a delivery date from 15 August to 30 August and identifies the clause affected. It should explain whether related milestones change too. Simply adding a new date to a letter can leave two conflicting deadlines in circulation.

Common Mistakes to Avoid

Avoid assuming one party can change a signed agreement unilaterally. Keep the amendment with the original and any earlier amendments.

Frequently Asked Questions

Should I repeat the whole contract?

Not necessarily. Clearly identify the changes and how unchanged provisions are treated. Obtain advice if the amendments have become too complex to follow.

What if an earlier amendment affects the same clause?

Review the full document history and make the intended current wording unambiguous. Do not assume the latest isolated sentence resolves every conflict.
